Terms of Service.

Agreeing to these terms.

These Terms of Service (“Terms”) govern your use of vivelyy.com and any services, campaigns, forms, or messaging programs operated by Vivelyy (“Vivelyy,” “we,” “us”). By visiting the site, signing up as a client or creator, or opting in to receive texts or emails from us, you agree to these Terms.

If you don't agree, please don't use the site or our services. We may update these Terms from time to time — see Section 09 for how we'll let you know.

What Vivelyy does.

Vivelyy connects local businesses with creators to run influencer marketing campaigns. Depending on your relationship with us, these Terms apply in slightly different ways:

• Clients — businesses that hire Vivelyy to plan, run, or manage a marketing campaign.
• Creators — individuals who partner with Vivelyy to produce content for client campaigns.
• Visitors — anyone browsing the site, filling out a form, or opted in to messages, without an active campaign relationship.

Specific campaign terms, deliverables, and payment details are set out in a separate agreement or statement of work where applicable. These Terms fill in the general rules that apply on top of that.

Who can use Vivelyy.

• You must be at least 18 years old, or the age of majority in your state, to use our services or sign up as a client or creator.
• Information you give us — contact details, business information, campaign content — must be accurate and kept up to date.
• You're responsible for anything that happens under your account or campaign, including content submitted on your behalf.
• We can suspend or end access to our services for anyone who violates these Terms or misuses the platform.

Text messaging terms.

If you opt in to receive text messages from Vivelyy, here's exactly what you're signing up for.

1. You can expect to receive automated follow-up and reminder SMS messages with varying frequency from Vivelyy, and automated promotional SMS messages with varying frequency from Vivelyy.
2. You can cancel the SMS service at any time. Just text STOP to the short code. After you send the SMS message “STOP” to us, we will send you an SMS message to confirm that you have been unsubscribed. After this, you will no longer receive SMS messages from us. If you want to join again, just sign up as you did the first time and we will start sending SMS messages to you again.
3. If you are experiencing issues with the messaging program, you can reply with the keyword HELP for more assistance, or you can get help directly at lisbeth@vivelyy.com.
4. Carriers are not liable for delayed or undelivered messages.
5. As always, message and data rates may apply for any messages sent to you from us and to us from you. If you have any questions about your text plan or data plan, it is best to contact your wireless provider.

What's not okay.

When using vivelyy.com or our services, you agree not to:

• Use the site or services for anything unlawful, fraudulent, or deceptive.
• Submit content that's defamatory, infringing, obscene, or harassing.
• Attempt to access accounts, data, or systems that aren't yours.
• Interfere with the site's operation, including through bots, scraping, or malicious code.
• Misrepresent your identity, business, or affiliation with Vivelyy.
• Send SMS or email opt-ins on behalf of someone else without their consent.

Ownership of content.

Our content

The Vivelyy name, logo, site design, and materials we create are owned by Vivelyy or our licensors and protected by copyright and trademark law. You may not copy, reproduce, or repurpose them without permission.

Campaign content

Ownership and usage rights for creator content produced as part of a campaign are set out in the applicable campaign agreement between Vivelyy, the client, and the creator. Absent a separate agreement, creators retain ownership of their original content, and clients receive a license to use campaign deliverables for the agreed purpose and duration.

Feedback

If you send us feedback or suggestions about our services, we may use them without owing you anything in return.

Fees & billing.

• Campaign fees, creator payouts, and billing terms are set out in the applicable client or creator agreement.
• Payments are processed through third-party payment processors; Vivelyy doesn't store full card numbers on its own servers.
• Late or failed payments may result in paused campaigns or suspended access to services.
• All fees are non-refundable unless otherwise stated in your agreement or required by law.

The fine print.

Our services are provided “as is” and “as available.” We don't guarantee specific campaign results, follower growth, sales, or engagement outcomes — marketing performance depends on many factors outside our control.

To the fullest extent permitted by law, Vivelyy isn't liable for indirect, incidental, or consequential damages arising from your use of the site or services, including delayed or undelivered SMS messages (carriers, not Vivelyy, control message delivery — see Section 04).

Nothing in these Terms limits liability where the law doesn't allow it to be limited.

Ending the relationship, updating these terms.

• You can stop using our services, opt out of SMS (text STOP), or unsubscribe from emails at any time.
• We may suspend or terminate access for violations of these Terms, non-payment, or misuse of the platform.
• We may update these Terms as our services evolve. We'll update the effective date above, and flag material changes on the site or send them to you directly where appropriate.
• Sections that by their nature should survive termination — like intellectual property, payment obligations, and liability limits — will continue to apply.

Where this is governed, and how to reach us.

These Terms are governed by the laws of the state in which Vivelyy is organized, without regard to conflict-of-law principles, unless a separate campaign agreement states otherwise.
